Terms of Service
These Terms of Service are the agreement between MapKnock LLC (“MapKnock”, “we”, “us”) and the business that creates or uses a MapKnock workspace (“you”). They cover the MapKnock website, apps and every feature of the service. Please read them: they limit our liability, make you responsible for the outreach you do with MapKnock, and send most disputes to individual arbitration instead of court.
1. This agreement
MapKnock LLC is a Wyoming limited liability company. This agreement is made up of these Terms, the Service Terms, the Acceptable Use and Content Policy, the Messaging Policy, the Data Processing Addendum, and any order form or plan you choose in the product (together, the “Agreement”).
If they conflict, this order wins: a signed order form, then the Data Processing Addendum (for personal information you put into MapKnock), then the Service Terms (for the feature they cover), then the Messaging Policy, then these Terms, then the Acceptable Use and Content Policy. Our Privacy Policy explains how we handle personal information and is not part of the contract.
2. Who may use MapKnock
MapKnock is a business tool. To use it you must:
- be a business, or a person acting for one, using MapKnock for that business and not for personal, family or household purposes;
- be at least 18 years old and able to form a binding contract;
- be based in, and use MapKnock for outreach in, the United States;
- not be barred from receiving services under U.S. sanctions or export laws; and
- if you accept for a company, have the authority to bind it. “You” then means that company.
We may decline any workspace, verify your business (for example its legal name, EIN, address and license), and limit features until we have. Competitors may not use MapKnock to build or benchmark a competing product without our written consent.
3. Accepting these terms and changes to them
You accept the Agreement by ticking the box and creating a workspace, by accepting an updated version in the product, or by signing an order form. We record which version was accepted, when, by which user and from which device. Each person you invite agrees to follow the Agreement when they use your workspace.
We may change the Agreement. For a material change we will tell workspace owners by email or in the product at least 30 days before it takes effect, and the owner will be asked to accept it. If you don’t agree, you may cancel before the change takes effect and it won’t apply to you. Changes needed to meet a legal, carrier or security requirement may take effect sooner, with as much notice as we can give. Changes never apply to a dispute that arose before they took effect. The date at the top of each document shows its current version, and earlier versions are available on request.
4. Your workspace, users and security
Your workspace owners and admins decide who joins and what role each person has. You are responsible for everything done in your workspace, by your employees, contractors and anyone else using your sign-ins, whether or not you authorized it.
- Each person uses their own sign-in. Don’t share accounts or codes.
- Keep sign-ins secure and turn on two-factor authentication for owners and admins.
- Tell us at once at legal@mapknock.com if you think someone got into your workspace without permission.
- Remove people who no longer work for you.
We may require stronger sign-in steps, end sessions, or lock an account we think is compromised.
5. What MapKnock provides
MapKnock is software that helps you find homes, see property and permit information, look up owner contact details, organize prospects, and reach homeowners by text, mail and other channels under the rules in this Agreement. We may add, change or retire features. If we retire a feature you pay for separately, we will give reasonable notice and a pro-rated credit for any prepaid part you can’t use.
Features marked beta, preview or early access are offered as is, may change or stop at any time, and are excluded from any service commitment. Free plans and free credits can be changed or ended at any time.
Some features rely on outside providers, such as phone carriers, mail carriers, payment processors, map providers and the CRM tools you connect. Their services are governed by their own terms, and we aren’t responsible for their acts, outages or changes.
6. You are the sender and the seller
You decide whom to contact, what to say and when. Every text, call, letter, email, website interaction and visit made with MapKnock is made by you and for your business. MapKnock is the platform you use to do it, not the sender, seller, telemarketer or caller.
You are responsible for complying with every law and rule that applies to your outreach, including:
- the Telephone Consumer Protection Act and FCC rules (47 U.S.C. § 227 and 47 C.F.R. § 64.1200), the FTC Telemarketing Sales Rule, the National Do Not Call Registry rules and state do-not-call laws;
- state telemarketing and texting laws, such as Oregon’s ORS 646.561 to 646.578, Washington’s Commercial Electronic Mail Act, California’s text-advertising law and Florida’s Telephone Solicitation Act;
- CAN-SPAM, postal rules on deceptive mail, and state laws on solicitation, home-improvement sales and contractor advertising;
- privacy, wiretap and consumer protection laws, including any notice or consent your own website needs; and
- the rules of phone carriers, The Campaign Registry and our messaging providers.
MapKnock enforces safeguards: opt-in before texting, opt-out handling, quiet hours, daily limits, Do Not Call checks on looked-up numbers and template checks. Those safeguards reduce risk. They do not make an outreach program lawful, and they are not legal advice. Nothing MapKnock says, including the compliance guides in the product, is legal advice. Have your own attorney review your program.
You will keep accurate records of how and when people agreed to hear from you and give them to us within five business days when we ask, for example to answer a carrier, regulator or complaint. We may pause your sending, a campaign or a number at any time to protect homeowners, carriers, other customers or MapKnock.
In person
If your team visits homes, you are responsible for local solicitation permits and ordinances, posted “no soliciting” signs, trespass rules, honoring a request to leave, and the conduct and safety of your people. Never use MapKnock while driving. If MapKnock records where or when your team works, you will give your team any notice the law requires.
7. Property and contact data
MapKnock shows property, permit and owner information drawn from public records and licensed data providers, and contact details you pay to look up (“MapKnock Data”). MapKnock Data is licensed, not sold, to you. We grant you a limited, non-exclusive, non-transferable, revocable license, while your workspace is active, to use MapKnock Data inside MapKnock, and in the CRM tools you connect to it, to market and provide your own home-related products and services to the people and homes it describes.
You will not, and will not let anyone else:
- use MapKnock Data, in whole or in part, as a factor in deciding anyone’s eligibility for credit, insurance, employment, housing, tenancy, or any other purpose under the Fair Credit Reporting Act. MapKnock is not a consumer reporting agency and MapKnock Data is not a consumer report;
- use it for any purpose the Driver’s Privacy Protection Act or the Gramm-Leach-Bliley Act forbids;
- use it to locate, track, harass, threaten or harm anyone, to find a person who doesn’t want to be found, for debt collection, for surveillance by or for a government, or to infer anyone’s race, religion, health, sexual orientation, immigration status or other sensitive trait;
- sell, rent, lend, publish, share or give MapKnock Data to anyone else, or use it to build or improve a list, database or data product, except your own customer records for people who become your customers;
- display personal information from MapKnock Data publicly, for example on a website or in social media;
- copy it out of MapKnock in bulk, by scraping, automated tools or otherwise, beyond the exports the product offers;
- use it to train or improve an artificial intelligence model, or put it into an outside AI tool, except features MapKnock provides;
- name or contact MapKnock’s data providers as the source of a record, or try to find out who they are; or
- keep using a person’s details after we tell you that person asked to be removed or opted out.
When your workspace ends, or we tell you a record must be removed, you will stop using and delete MapKnock Data, including copies in your CRM, except records about people who have since become your customers through your own dealings with them. We may ask you to confirm this in writing, and to show your compliance with this section once a year. Our data providers are intended third-party beneficiaries of this section and may enforce it.
MapKnock Data comes from sources that can be incomplete, out of date or wrong, and records about people change often. We label what we can and leave gaps rather than guess, but we don’t promise any record is accurate, complete or current, that a number reaches the right person, or that a person still owns a home. Check what matters before you rely on it.
8. Your content and data
What you and your team put into MapKnock, such as notes, statuses, lists, messages, designs and your own customer records (“Your Content”), stays yours. You give MapKnock a non-exclusive license to host, copy, process, transmit and display Your Content as needed to provide, secure, support and improve the service for you, and as the law requires. The Data Processing Addendum governs personal information in Your Content.
You promise you have the rights and any consents needed to put Your Content into MapKnock and to have us process it as you direct. Don’t put health, financial account, government ID, biometric or children’s information into MapKnock, or anything you aren’t allowed to share.
MapKnock owns the service, its software and designs, and the aggregated or de-identified information it produces about how the service is used, which we may use for any lawful purpose as long as it doesn’t identify you or any person. If you send ideas or feedback, we may use them freely without owing you anything.
You can export your leads at any time. After your workspace closes, we delete Your Content within 90 days, except copies kept in backups for a limited time and records we must keep, such as opt-outs, consent records, billing records and legal holds.
9. Plans, credits and billing
Plans. Paid plans are billed in advance each month and renew automatically until you cancel. You can cancel at any time in Settings → Billing; the plan then ends at the close of the period you paid for, and you keep access until then.
Credits. Paid actions, such as contact lookups, texts, mail pieces and visitor matches, use credits priced in cents. The product shows the price of a paid action before you confirm it, and you authorize the charge when you confirm. A lookup that doesn’t find a billable result isn’t charged. Plan credits reset each billing period and don’t roll over. Purchased credits stay available while your workspace is open. Credits have no cash value, can’t be transferred or sold, and end when your workspace closes, except that if we close your workspace without cause we will refund unused purchased credits.
Refunds. Fees and used credits are not refundable, except where the Service Terms say otherwise (for example, mail canceled within its cancellation window), where we made a billing error, or where the law requires a refund.
Price changes. We will give at least 30 days’ notice before raising a plan price or a credit price you pay. Pass-through costs we don’t control, such as carrier, registration and postage fees, may change when the provider changes them, and the product shows the new price before you use it.
Payment. You authorize us and our payment processor to charge your payment method for all fees, credits and taxes. Prices don’t include taxes; you pay any sales, use or similar taxes except taxes on our income. If a payment fails we may retry it and suspend paid features until it succeeds. Raise a billing question with us within 60 days of the charge; please contact us before disputing a charge with your bank, because a chargeback for a charge you authorized is a breach of this Agreement. You will pay reasonable costs, including attorney fees, of collecting amounts that are past due.
10. Suspension and ending
You may stop using MapKnock and close your workspace at any time.
We may suspend all or part of your access immediately, with notice where practical, if we reasonably believe that your use creates legal, carrier, security or reputational risk, breaks the Acceptable Use and Content Policy or the Messaging Policy, harms homeowners or other customers, or that a payment is past due. We may end the Agreement on notice if you materially breach it and don’t fix the breach within 10 days of our notice, or immediately for a breach that can’t be fixed, for misuse of MapKnock Data, for unlawful outreach, or if required by law, a carrier or a data provider. We may also end a free workspace, or end the Agreement for convenience with 30 days’ notice and a refund of prepaid fees for the unused period.
When the Agreement ends, your access ends, any unpaid fees become due, and the sections on data, your content, billing, confidentiality, indemnity, liability, disputes and general terms continue. Where we can, we will give you 30 days to export your leads first, unless suspension was for unlawful use or misuse of data.
11. Confidentiality
Each of us will keep the other’s non-public business information confidential, use it only for this Agreement, and share it only with people who need it and are bound to protect it. This doesn’t cover information that is or becomes public through no fault of the receiver, that the receiver already had or developed on its own, or that it received lawfully from someone else. A party may disclose information when the law, a court or a regulator requires, after giving notice where allowed. This duty lasts for three years after the Agreement ends, and for as long as information stays a trade secret.
12. Using the service fairly
Follow the Acceptable Use and Content Policy. In particular, don’t copy, resell or sublicense the service, reverse engineer it except where the law allows despite this term, get around its limits or security, reach another workspace’s data, use bots or scrapers on it, or use it to send spam or malware. Don’t use our name or logo, or say MapKnock endorses you, without permission. You may say that you use MapKnock.
13. Disclaimers
MapKnock is provided “as is” and “as available”. To the fullest extent the law allows, MapKnock and its data providers and suppliers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and anything arising from a course of dealing. We don’t promise that the service will be uninterrupted or error-free, that messages or mail will be delivered, that any data is accurate, that AI output is correct, or that you will win any customer or sale.
AI features draft and label text automatically. Their output can be wrong, incomplete or inappropriate. You review AI output before you use it, and you are responsible for what you send.
14. Indemnity
You will defend MapKnock, its members, managers, employees, data providers and service providers, and pay any losses, damages, fines, penalties, settlements and reasonable costs and attorney fees they incur, arising from any claim, demand, investigation or proceeding by a third party, a regulator, a carrier or a data provider that relates to:
- your outreach, including texts, calls, mail, emails and visits, their content and timing, and whom you contacted;
- consent, opt-outs and records of consent for anyone you contacted;
- the business details you give for carrier registration, and fines or fees a carrier charges because of your messages;
- AI output, designs or other content you chose to send or publish;
- your website, including the website visitor tag and the notices and consents it needs;
- Your Content, and your use of MapKnock Data;
- the acts of your users, employees and contractors; or
- your breach of the Agreement or of any law.
We will defend you against a third-party claim that the MapKnock software, as we provide it, infringes a U.S. patent, copyright or trademark or misappropriates a trade secret, and pay the resulting damages or settlement. This doesn’t cover claims arising from MapKnock Data, Your Content, outside services, combinations with things we didn’t provide, changes not made by us, or use that breaks the Agreement. If such a claim happens or seems likely, we may get you the right to keep using the service, change it so it no longer infringes, or end the affected part and refund prepaid fees for it. This paragraph is your only remedy for infringement claims.
The party seeking defense will tell the other promptly, let it control the defense and settlement (no settlement may admit fault for, or impose a duty on, the defended party without its consent), and cooperate at the defending party’s cost.
15. Limits of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, goodwill or data, even if told they were possible.
To the fullest extent the law allows, MapKnock’s total liability for all claims arising from or relating to the Agreement or the service is limited to the greater of (a) the amounts you paid MapKnock in the 12 months before the event giving rise to the claim and (b) one hundred U.S. dollars. For free plans and beta features, that limit is one hundred U.S. dollars.
These limits don’t apply to your payment obligations, your indemnity, your breach of the sections on property and contact data or on the Acceptable Use and Content Policy and Messaging Policy, or your unlawful outreach. They apply to every kind of claim, whether in contract, tort, statute or otherwise, and they are a basic part of the bargain: our prices reflect them.
16. Time limit to bring a claim
Any claim against MapKnock arising from the Agreement or the service must be brought within one year after it arose, or within the shortest period the law allows if that is longer. Otherwise it is permanently barred.
17. Resolving disputes
Talk to us first. Before starting arbitration or a lawsuit, the party with a dispute will send a written notice describing it and the relief sought (to MapKnock at legal@mapknock.com; to you at your workspace owner’s email), and both sides will try in good faith to resolve it for 30 days.
Arbitration. Any dispute arising from or relating to the Agreement or the service that isn’t resolved will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (and its Mass Arbitration Supplementary Rules where they apply), before one arbitrator. The arbitration will be seated in Deschutes County, Oregon, and hearings will be held by video or on written submissions unless the arbitrator decides an in-person hearing is needed. The arbitrator decides questions about whether a dispute must be arbitrated. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
Individual claims only. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not award relief for anyone else. If this sentence is found unenforceable for a claim, that claim goes to court, not to class arbitration.
Exceptions. Either party may bring an individual claim in small claims court, and either party may ask a court for an injunction to protect its intellectual property, confidential information or MapKnock Data. MapKnock may go to court to collect unpaid fees.
Opting out. You may opt out of arbitration by emailing legal@mapknock.com within 30 days after you first accept these Terms, giving your workspace name and saying you opt out. Opting out doesn’t affect the rest of the Agreement.
Jury waiver. For any dispute that goes to court, both parties waive a jury trial to the extent the law allows.
18. Governing law and courts
Wyoming law governs the Agreement, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs arbitration. Any dispute not sent to arbitration will be heard only in the state or federal courts for Deschutes County, Oregon, and both parties consent to their jurisdiction.
19. General terms
- Notices. We send notices to your workspace owner’s email or in the product. You send notices to legal@mapknock.com. Notices are given when sent.
- Assignment. You may not assign the Agreement without our written consent. We may assign it to an affiliate or to a successor in a merger, acquisition or sale of assets.
- Events beyond control. Neither party is liable for delay caused by events beyond its reasonable control, such as outages of carriers, cloud or postal services, but this doesn’t excuse payment.
- Relationship. We are independent contractors. Nothing creates a partnership, joint venture, agency or employment.
- Third parties. Apart from our data providers and the people we indemnify, no one else has rights under the Agreement.
- Whole agreement. The Agreement is the entire agreement on its subject and replaces earlier ones. Terms in your purchase orders don’t apply. A waiver must be in writing. If part is unenforceable, the rest still applies and that part is enforced as far as the law allows.
- Electronic records. You agree to receive the Agreement, notices and records electronically, and that clicking to accept is your signature.
